Coherent just filed an 8-K: what a $100m all-or-nothing pay package means
Coherent Corp. (NYSE: COHR) filed an 8-K on 31 August 2026 disclosing that its Compensation and Human Capital Committee approved $100 million of special, one-off incentive awards for five senior executives on 27 August. The awards are 100% performance stock units — nothing vests unless the share price roughly doubles and the company also beats its peer group.
What was actually granted
- James R. Anderson, Chief Executive Officer — $50 million target value
- Sherri Luther, Chief Financial Officer — $15 million
- Julie Eng, Chief Technology Officer and EVP, Optical Components — $15 million
- Rob Beard, Chief Strategy and Legal Affairs Officer — $15 million
- Jeffrey Place, Chief Supply Chain Officer — $5 million
All five awards are performance stock units granted under the Coherent Corp. Omnibus Incentive Plan. The company is explicit that these are not part of the regular compensation programme — they sit on top of the normal annual cycle as a retention measure.
The hurdles — this is the part that matters
A PSU only converts into a share if a target is hit. Coherent set four stock-price milestones, each measured as a 60-consecutive-calendar-day average at some point in the four-year performance period that began 27 August 2026:
- $454.43 (10% annual price growth) → 50% of target PSUs earned
- $542.86 (15%) → 100% earned
- $643.61 (20%) → 150% earned
- $757.77 (25%) → 200% earned
Those four numbers all imply the same starting reference price of about $310.38 — work backwards from any hurdle at its stated growth rate and you land on the same figure. So the first tranche needs roughly a 46% gain from the grant-date reference, and the top tranche needs about 144%.
There is a second gate. Even if a price hurdle is met, nothing is earned unless Coherent's total shareholder return is above the 50th percentile of the S&P Composite 1500 Electronic Equipment, Instruments & Components Index at the same time. Both conditions must hold simultaneously. There is no interpolation between hurdles — clear $542.86 but not $643.61 and you earn 100%, not 130%.
The lock-ups are unusually long
- No portion vests until the end of the full four-year performance period, even if a hurdle is cleared in year one.
- Vested PSUs are then subject to an additional one-year holding period — so shares are not tradable until five years after grant.
- Termination without cause: milestones already achieved still vest at the end of the period; unachieved milestones are forfeited in full, including on death or disability.
- Voluntary resignation or termination for cause: the entire award is forfeited.
- On a change of control the performance period ends early, achievement is measured against the per-share deal price with linear interpolation, earned PSUs convert to time-based awards with double-trigger acceleration, and the holding period falls away.
What an 8-K Item 5.02 / Item 8.01 is
An 8-K is the "something happened" form. Rather than waiting for the next quarterly report, a US-listed company must file an 8-K within four business days of certain events, each tagged with a numbered item.
Item 5.02 covers the departure or appointment of directors and senior officers and compensatory arrangements for them — which is why a pay decision, not a hiring or firing, triggered it here. Item 8.01 ("Other Events") is the catch-all a company uses when it wants to disclose something it judges material even though no specific item requires it. Coherent put the full narrative in 8.01 and incorporated it into 5.02 by reference — a common drafting pattern, and a hint that the company wanted this read as news rather than as boilerplate.
Worth noting: the actual award agreement is not attached to this 8-K. The company says it will be filed as an exhibit to its next periodic report, so the fine print is still to come.
Why it matters
Retention risk is being priced. The committee's stated reasoning is that keeping this team through a phase of "technology investment, capacity expansion, customer engagement and operational execution" is paramount. Companies do not hand out $100 million retention packages when they feel relaxed about people leaving. Coherent supplies optical components into AI datacentre build-outs — a segment where engineering and supply-chain leadership is being competed for hard.
Dilution. PSUs are settled in shares. At the 100%-of-target level that is roughly $100 million of stock issued; at the top hurdle the payout doubles to about 200% of target. Existing shareholders own a slightly smaller slice — but only in the scenarios where the share price has risen 75% or more, which is the intended trade.
Governance, both ways. The design has real teeth: no time-based portion, a peer-relative gate that prevents a rising-sector tide alone from paying out, forfeiture of unearned tranches even on death, and a five-year illiquidity window. That is a stricter structure than many mega-grants. The counter-argument is one of scale and precedent — $50 million to a CEO is very large relative to a typical S&P 500 package, and 200%-of-target upside means the cost to shareholders grows fastest exactly when the award is working.
Context from the last report. Coherent reported fiscal 2026 (year ended 30 June 2026) revenue of $7,118.2 million, up 22.5% year on year, with GAAP diluted EPS of $4.12 and non-GAAP diluted EPS of $5.61. Its Datacenter & Communications segment grew 40.4% to $5,274.6 million. The filing also notes the stock is trading near all-time highs "with significant volatility" — a fact the committee says it weighed when setting the hurdles.
Beginner takeaway
A big executive pay announcement is not automatically good or bad news — the structure tells you far more than the headline number. Read the hurdles, the measurement window, the peer-relative gate and the holding period before forming a view. Here, a $100 million figure is genuinely contingent: if the share price goes nowhere for four years, every one of these PSUs is worth zero.
FAQ
Do these executives receive $100 million now? No. Nothing is paid today. $100 million is the combined target value; the units only convert to shares if the price hurdles and the relative-return test are both met, and even then not until the four-year period ends.
What is the difference between a PSU and an RSU? A restricted stock unit vests mainly with the passage of time — stay employed and you receive the shares. A performance stock unit adds a performance condition. These awards are 100% PSU, with no time-only component.
Why does a 60-day average matter? It stops a single volatile day from triggering a payout. The share price must hold above the milestone on average for 60 consecutive calendar days, which is a meaningfully harder test than touching the level once.
What is the relative TSR gate for? It ensures the team is not rewarded simply for being in a sector that rose. Coherent must outperform the median of the S&P Composite 1500 Electronic Equipment, Instruments & Components Index at the moment a price hurdle is met, or that tranche is not earned.
