Why is Skyworks (SWKS) up ~18% in two days? Its CEO says the $22B Qorvo deal can close this year

Skyworks Solutions (SWKS) decoded

Skyworks Solutions is up about 7.7% today, around $90.48 vs a $84.03 prior close, as reported by StockAnalysis. It also touched a new 52-week high of $91.94. That comes on top of a ~10% jump on Thursday, so the stock is up roughly 18% in two sessions, and Benzinga has it up 28% over five days — on track to be the S&P 500's best performer this week.

The reason is one deal: its $22 billion merger with fellow iPhone-chip supplier Qorvo.

What happened

CEO Phil Brace told Goldman Sachs' Communacopia + Technology conference that the Qorvo deal has "reached its final stages," with two regulatory jurisdictions still left to sign off (per 24/7 Wall St. and StockStory). MarketBeat's summary of the talk has him expecting a close in calendar 2026, with US antitrust (Hart-Scott-Rodino/FTC) waiting periods already cleared and the debt financing done.

That's a real shift in timing. In a May SEC filing, Skyworks' formal guidance was a close in early calendar 2027, with China's regulator (SAMR) only in Phase II of its review. By the July earnings call, SAMR had moved to Phase III, the final stage. Now the CEO is talking about this year.

Why it moved

Markets hate waiting. A merger stuck in China review is a stock with a question mark on it. Every month shaved off that timeline brings the payoff closer.

And the payoff Skyworks is pitching is big. Per MarketBeat, management is targeting $500 million of cost savings over 24–36 months, and for the combined company gross margins of 50–55% and operating margins of 30–35%. Skyworks alone ran a 45% gross margin last quarter. That margin gap is the bull case in one line.

One nuance the headline skips: Thursday's ~10% jump happened while the broader chip ETF (SOXX) fell about 2%, and 24/7 Wall St. found no fresh announcement that day. So part of the run was traders positioning ahead of the conference. Today is the confirmation.

The deal math (the useful bit)

Qorvo holders get $32.50 in cash plus 0.96 Skyworks shares for each Qorvo share. At today's reported prices (SWKS ~$90.48, QRVO ~$118.15 on StockAnalysis), that works out to about $119.36 of value per Qorvo share — only about $1.21 (~1%) above where Qorvo trades.

That gap is the "merger-arb spread." A 1% spread says the market thinks this deal is very likely to close, and soon. It's also why Qorvo (up ~5.8%) is moving in lockstep: every $1 Skyworks gains adds roughly 96 cents to what a Qorvo share is worth.

Is it expensive?

On trailing numbers, yes. Skyworks trades at a P/E of about 46.8 with a ~$13.6 billion market cap (StockAnalysis). That's rich for a chipmaker whose net income fell about 27% over the last twelve months. On forward estimates it's about 19x — much more normal, but that assumes earnings recover.

  • Qorvo: P/E ~27.4, forward ~15.4, market cap ~$10.4 billion.
  • Qualcomm: P/E ~20.6, forward ~19.1, market cap ~$197 billion.

So Skyworks now costs about the same as Qualcomm on forward earnings, and more than the company it's buying. Also note: the stock sits about 32% above the average analyst target of ~$68 on StockAnalysis. Analysts haven't caught up with the rally.

The business

Skyworks makes radio-frequency (RF) chips — the parts that let a phone talk to cell towers and Wi-Fi. In fiscal Q3 (reported July) revenue was $935 million: Mobile $533 million (57%) and Broad Markets $403 million (43%), which covers Wi-Fi, data-centre, auto and industrial. Apple is the biggest customer for both Skyworks and Qorvo. Management also axed the dividend and set up a $2 billion buyback, and guided Q4 revenue to $1.01–1.06 billion.

So today's move isn't about one product. It's about whether a combined, bigger, more diversified RF company can earn fatter margins than either does alone.

Who it touches

  • Qorvo (QRVO) — tied to Skyworks by the deal formula; its price now mostly tracks SWKS.
  • Apple — its two key RF suppliers become one, which gives the combined company more pricing weight.
  • Qualcomm (QCOM) — also up today, but on its own story (a custom AI-chip deal with AWS, per StockAnalysis). Don't read it as a Skyworks sympathy move.

What to watch

China's SAMR sign-off. That's the one thing that flips this. A delay, or approval with tough conditions (like forced product sales), would widen that ~1% spread fast and take the "close this year" premium out of both stocks. Also watch Q4 results against the $1.01–1.06 billion guide — mobile is still 57% of sales.
